With the aim of reducing management costs, the boards of directors of
Grifols, S.A. and Arrahona Optimus, S.L. approved on 29 May 2015 a
Merger Project, whereby in compliance with article 51 of Law 3/2009 of 3
April 2009 on structural modifications of commercial companies (Ley de
Modificaciones Estructurales de las Sociedades Mercantiles), both
management bodies approve to propose that Grifols, S.A. absorbs its wholly owned subsidiary Arrahona Optimus, S.L
